Agreement to Terms

These Terms of Service ("Terms") govern your use of the Cypress Ops website at cypressops.com and the subscription and consulting services provided by Conifer Labs LLC doing business as Cypress Ops ("we," "us," or "our").

By clicking "Subscribe," "Sign Up," or similar affirmative action, by authorizing our application to connect to a third-party platform on your behalf, or by continued use of our services, you agree to be bound by these Terms as in effect at that time. You represent that you have legal authority to enter into this agreement on behalf of any organization you represent. If you do not agree to these Terms, do not use our website or services.

Services Described

Cypress Ops provides AI-powered workflow automation services to small and medium-sized businesses. Our services may include implementing automated workflows, integrating third-party tools, deploying AI-assisted processes, and providing ongoing management and optimization. The specific automations deployed for you, along with their scope, data sources, outputs, and any human-in-the-loop review points, will be agreed during onboarding and may evolve over time as your needs change.

Use of the Website

You may use our website for lawful purposes only. You agree not to:

• Submit false or misleading information through our contact forms or signup flow
• Attempt to interfere with the proper functioning of the website or our services
• Use any automated system to access the website in a manner that sends more requests than a human could reasonably produce
• Reverse-engineer, decompile, or attempt to extract the source code of our software, except to the extent such activity is expressly permitted by applicable law

Client Responsibilities

When you engage our services, you agree to:

• Provide accurate and complete information necessary for us to perform the services
• Grant reasonable access to systems, tools, and data required for service delivery, including by authorizing our application to connect to the third-party platforms the service relies on
• Review and approve automated workflows, communications, and AI-generated outputs before they are deployed in production or released to your end customers
• Comply with all applicable laws, including those governing electronic communications (such as the Telephone Consumer Protection Act and CAN-SPAM Act) and data privacy

Subscription and Billing

Cypress Ops services are offered on a subscription basis. Unless otherwise specified in a written agreement between you and Cypress Ops:

• Billing cadence: Subscriptions are billed monthly in advance at the rate in effect at the time you subscribe.
• Payment authorization: By subscribing, you authorize us (through our payment processor, Stripe) to charge your chosen payment method for the subscription fee on each billing date.
• Auto-renewal: Your subscription renews automatically each month until you cancel.
• Cancellation: You may cancel your subscription at any time through the Cypress Ops Customer Portal. Cancellation takes effect at the end of the then-current billing cycle; you retain access to the service through that date.
• Refunds: We do not provide prorated refunds for partial billing periods, except where required by law or specified in your subscription confirmation.
• Price changes: We may change subscription prices for future billing cycles with advance notice; price changes do not apply retroactively to billing periods that have already been invoiced.
• Failed payments: If a payment fails, we will notify you and attempt to charge again. Continued non-payment may result in suspension or termination of your subscription.

Intellectual Property

Your data:You retain all ownership rights to your business data, customer records, and content ("Client Data"). We do not claim ownership of Client Data.

Our work: The Cypress Ops platform, including its software, models, workflow configurations, and integrations, is owned by Conifer Labs LLC. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the service during the term of your subscription.

Website content: All content on the Cypress Ops website, including text, design, and graphics, is owned by Conifer Labs LLC and may not be reproduced without permission.

AI and Automation Disclaimer

Our services involve the use of artificial intelligence, machine learning, and automated systems. You acknowledge and agree that:

• AI-generated outputs may not always be accurate, complete, or appropriate for your specific situation
• You are responsible for reviewing and validating AI-generated content, communications, and decisions before they are acted upon
• Automated workflows should be tested in a controlled environment before deployment to production systems
• We do not guarantee specific business outcomes, revenue increases, or lead conversion rates from the use of our services

Third-Party Services

Our services integrate with and connect to third-party platforms, APIs, and tools. We are not responsible for the availability, performance, or terms of any third-party service. Changes made by third-party providers to their platforms, APIs, or pricing may affect the functionality of automations we build for you. We will make reasonable efforts to address such changes but cannot guarantee uninterrupted service when third-party dependencies are involved. Your use of any third-party platform remains subject to that platform's own terms and privacy policies.

Limitation of Liability

To the maximum extent permitted by law, Conifer Labs LLC and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to lost profits, lost revenue, lost data, or business interruption.

Our total liability for any claim arising from our services shall not exceed the total amount you paid to us in the three months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Conifer Labs LLC from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable law, including claims arising from automated communications sent to your customers through systems we build or manage for you.

Termination

You may cancel your subscription at any time as described in the Subscription and Billing section. We may suspend or terminate your access if you violate these Terms or if continued provision of the service is not commercially or legally feasible. Upon termination, we will provide reasonable assistance in transitioning your automations and data, revoke OAuth authorizations, and delete or return Client Data within 90 days unless retention is required by law.

Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our website or services will be uninterrupted, error-free, or free of harmful components. We do not warrant that our services will achieve any specific business result.

Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of the State of Washington.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date above. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms.
